Terms of Service & Subscription Agreement

1. Definitions

"Agreement" means these Terms of Service and Subscription Agreement.

"Company," "we," "us," or "our" means KyotoTech LLC (合同会社KyotoTech), a Japanese limited liability company registered in Kyoto, Japan.

"Customer," "you," or "your" means the individual or legal entity that creates an account and uses the Service.

"Service" means the KyotoTech Logger cloud logging platform, including the web application, API endpoints, NuGet SDK, and all related services, features, and documentation.

"Log Data" means any data, log entries, metadata, or information transmitted to, stored by, or processed through the Service by you or on your behalf.

"API Key" means the authentication credential provided to access the Service programmatically.

"Organization" means the workspace created upon registration that holds your projects, users, and Log Data.

"Subscription Plan" means the tier of service selected by you (Free, Developer, Professional, or Enterprise), each with specific usage limits and features.

"NuGet SDK" means the KyotoTech Logger client library distributed via NuGet for integration into .NET applications.

2. Acceptance of Terms

By creating an account, accessing, or using the Service, you agree to be bound by this Agreement. This includes use of the web dashboard, API, and NuGet SDK.

If you are entering into this Agreement on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity to this Agreement. If you do not have such authority, or if you do not agree with these terms, you must not accept this Agreement and may not use the Service.

If you do not agree to these terms, do not create an account, access, or use the Service.

Age Requirement

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to enter into this Agreement. If you are under 18, you may only use the Service with the involvement and consent of a parent or legal guardian who agrees to be bound by this Agreement.

3. Service Description

Overview

KyotoTech Logger is a cloud-based logging platform that enables developers and organizations to collect, store, search, and analyze application log data. The Service is provided as a Software-as-a-Service (SaaS) platform.

Service Components

  • Web Dashboard: Browser-based interface for viewing, searching, and managing logs
  • REST API: Programmatic access for log ingestion, querying, and management
  • NuGet SDK: .NET client library for seamless integration
  • Export Functionality: Tools for exporting log data in various formats

Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. WE MAKE NO GUARANTEE OF ANY SPECIFIC UPTIME PERCENTAGE OR SERVICE LEVEL.

Modifications to Service

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

4. Account Registration

Account Creation

To use the Service, you must create an account and provide accurate, current, and complete information. You agree to update your information promptly to keep it accurate and complete.

Account Security

You are solely responsible for:

  • Maintaining the confidentiality of your account credentials and API Keys
  • All activities that occur under your account, whether or not authorized by you
  • Immediately notifying us of any unauthorized use of your account
  • Ensuring that your API Keys are stored securely and not exposed in public repositories, client-side code, or other insecure locations

WE ARE NOT LIABLE FOR ANY LOSS OR DAMAGE ARISING FROM YOUR FAILURE TO PROTECT YOUR ACCOUNT CREDENTIALS OR API KEYS.

Account Sharing

Accounts are not transferable. You may not share your account credentials with third parties. Each user accessing the Service must have their own account within your Organization, subject to the user limits of your Subscription Plan.

5. Subscription Plans & Billing

Subscription Tiers

The Service is offered in multiple subscription tiers (including a free tier), each with specific usage limits, features, and data retention periods. The current plans, pricing, and feature details are available on our Pricing Page. Plan details may change from time to time at our discretion.

Billing

  • Paid subscriptions are billed in advance on a monthly or annual basis through our payment processor (Stripe)
  • All fees are stated in US Dollars (USD) and are exclusive of applicable taxes
  • You are responsible for all applicable taxes, duties, and levies in your jurisdiction
  • Subscriptions automatically renew at the end of each billing period unless cancelled prior to renewal

Price Changes

We reserve the right to change pricing at any time. Price changes will take effect at the start of your next billing cycle. We will provide reasonable notice of any price changes.

Refund Policy

ALL FEES ARE NON-REFUNDABLE EXCEPT AS REQUIRED BY APPLICABLE LAW. No refunds or credits will be issued for partial periods of service, downgrade refunds, or unused features.

Usage Limits

If you exceed the usage limits of your Subscription Plan, we may throttle or temporarily restrict your access to the Service. Continued exceeding of limits may require an upgrade to a higher tier. We reserve the right to suspend accounts that consistently exceed their plan limits.

6. Acceptable Use Policy

You may NOT use the Service to:

  • Transmit, store, or process any data that violates applicable laws or regulations
  • Store sensitive personal data including but not limited to: Social Security numbers, credit card numbers, bank account information, health records, government-issued identification numbers, or passwords/authentication credentials in log entries
  • Engage in any activity that interferes with, disrupts, or imposes an unreasonable burden on the Service or its infrastructure
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or related systems
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
  • Use the Service in any application that facilitates illegal activities, including illegal surveillance, malware distribution, or terrorism
  • Resell, redistribute, or sublicense access to the Service without our prior written consent
  • Circumvent or attempt to circumvent usage limits, rate limits, or authentication mechanisms
  • Use automated systems (bots, scrapers) to access the Service in a manner that exceeds reasonable usage patterns
  • Transmit any viruses, worms, malware, or other harmful code through the Service
  • Use the Service to benchmark or build a competing product or service

Compliance

You are solely responsible for ensuring that your use of the Service complies with all applicable laws, regulations, and industry standards in your jurisdiction, including but not limited to data protection laws (such as GDPR, CCPA, APPI), export control regulations, and industry-specific compliance requirements.

7. Data Handling & Retention

IMPORTANT: YOUR LOG DATA

You are solely responsible for all Log Data transmitted to the Service. KyotoTech LLC processes Log Data as a data processor on your behalf.

Data Ownership

You retain all ownership rights in your Log Data. By using the Service, you grant us a limited, non-exclusive license to store, process, and display your Log Data solely for the purpose of providing the Service to you.

Data Retention

Each Subscription Plan includes a data retention period as described on our Pricing Page. We reserve the right to delete Log Data that exceeds your plan's retention period at any time without prior notice. However, we are under no obligation to enforce retention limits or to delete data at any specific time.

  • WE HAVE NO OBLIGATION TO RETAIN YOUR LOG DATA BEYOND THE APPLICABLE RETENTION PERIOD OF YOUR SUBSCRIPTION PLAN
  • We may, at our sole discretion, retain or delete Log Data at any time
  • Upon account termination, Log Data will be deleted within 30 days
  • You are solely responsible for exporting any Log Data you wish to preserve before it may be deleted

Data Backup

YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING YOUR OWN BACKUPS OF YOUR LOG DATA. While we implement reasonable measures to protect data stored on our systems, we do not guarantee against data loss. We strongly recommend that you regularly export and back up any critical Log Data.

No Data Recovery

ONCE LOG DATA IS DELETED (whether due to retention expiry, account termination, or any other reason), IT CANNOT BE RECOVERED. KyotoTech LLC shall not be liable for any loss of Log Data under any circumstances.

Data Location

Log Data may be stored and processed on servers located in Japan. By using the Service, you consent to the transfer and storage of your data in these locations.

Data Security

We implement commercially reasonable security measures to protect your Log Data. However, NO SYSTEM IS COMPLETELY SECURE, AND WE CANNOT GUARANTEE THE ABSOLUTE SECURITY OF YOUR DATA. You acknowledge that you transmit data to the Service at your own risk.

8. Intellectual Property

Ownership

The Service, including all software, code, algorithms, interfaces, documentation, designs, trademarks, and all intellectual property rights therein, is and shall remain the exclusive property of KyotoTech LLC.

No Transfer

This Agreement does not transfer to you any ownership or intellectual property rights in the Service. You receive only the limited right to use the Service as described in this Agreement.

NuGet SDK License

The NuGet SDK is provided under a limited, non-exclusive, non-transferable, revocable license solely for the purpose of integrating your applications with the Service. You may not redistribute the SDK separately from your application or use it for purposes unrelated to the Service.

Feedback

If you provide feedback, suggestions, or ideas regarding the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback for any purpose without any obligation to you.

Trademarks

"KyotoTech Logger" and "KyotoTech" are trademarks of KyotoTech LLC. You may not use these trademarks without our prior written consent, except as reasonably necessary to identify your use of the Service.

9. Warranty Disclaimer

"AS IS" Basis

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KYOTOTECH LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY, RELIABILITY, OR COMPLETENESS OF THE SERVICE OR ANY DATA
  • THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • THAT DEFECTS WILL BE CORRECTED
  • THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
  • THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS
  • ANY WARRANTY ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE

Service Performance

WE DO NOT WARRANT THAT:

  • The Service will be available at all times or any specific percentage of uptime
  • Log Data will be delivered, stored, or processed without delay or loss
  • The Service is suitable for any particular compliance requirement or regulatory standard
  • Search results or data exports will be complete or accurate in all cases
  • The Service will be compatible with all software, hardware, or network configurations

Third-Party Services

The Service may integrate with or rely on third-party services (including but not limited to payment processors, cloud infrastructure providers, and email services). We are not responsible for the availability, accuracy, or performance of any third-party services.

10. Limitation of Liability

Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KYOTOTECH LLC, ITS DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, CONTRACTORS, OR AFFILIATES BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES
  • LOSS OF DATA, INCLUDING LOG DATA THAT IS DELETED, CORRUPTED, OR BECOMES INACCESSIBLE
  • LOSS OF PROFITS, REVENUE, GOODWILL, OR BUSINESS OPPORTUNITIES
  • BUSINESS INTERRUPTION OR LOSS OF USE
  • COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES
  • SECURITY BREACHES OR UNAUTHORIZED ACCESS TO YOUR DATA OR ACCOUNT
  • ANY DAMAGES RESULTING FROM YOUR FAILURE TO MAINTAIN SECURE ACCOUNT CREDENTIALS OR API KEYS
  • ANY DAMAGES RESULTING FROM SERVICE UNAVAILABILITY, LATENCY, OR PERFORMANCE ISSUES
  • ANY DAMAGES ARISING FROM THIRD-PARTY ACTIONS OR THIRD-PARTY SERVICE FAILURES
  • ANY DAMAGES ARISING FROM MODIFICATION, SUSPENSION, OR DISCONTINUATION OF THE SERVICE

ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, THE USE OR INABILITY TO USE THE SERVICE, OR ANY DATA TRANSMITTED TO OR RECEIVED FROM THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Liability Cap

IF, NOTWITHSTANDING THE FOREGOING, KYOTOTECH LLC IS FOUND LIABLE FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT, OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE LESSER OF:

  • THE TOTAL AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
  • ONE HUNDRED US DOLLARS (USD $100)

Exceptions

THE LIMITATIONS IN THIS SECTION SHALL NOT APPLY TO:

  • LIABILITY ARISING FROM OUR GROSS NEGLIGENCE (重過失) OR WILLFUL MISCONDUCT (故意) AS DEFINED UNDER JAPANESE LAW
  • LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE MANDATORY LAW
  • YOUR INDEMNIFICATION OBLIGATIONS UNDER THIS AGREEMENT

Japan Consumer Contract Act

If you are a consumer as defined under Japan's Consumer Contract Act (消費者契約法), certain limitations may not apply to the extent prohibited by that Act. However, to the fullest extent permitted, the limitations set forth above shall apply.

Essential Purpose

YOU ACKNOWLEDGE AND AGREE THAT THE LIMITATIONS OF LIABILITY IN THIS SECTION ARE AN ESSENTIAL ELEMENT OF THIS AGREEMENT AND REFLECT A FAIR AND REASONABLE ALLOCATION OF RISK BETWEEN THE PARTIES. THE SERVICE WOULD NOT BE PROVIDED WITHOUT THESE LIMITATIONS.

Cumulative Liability

The limitations set forth in this section apply regardless of the number of claims made and shall apply in the aggregate to all claims arising out of or relating to this Agreement or the Service.

11. Indemnification

You agree to indemnify, defend, and hold harmless KyotoTech LLC, its directors, members, employees, agents, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and legal costs) arising from or related to:

  • Your use or misuse of the Service
  • Your violation of this Agreement
  • Your violation of any applicable law, regulation, or third-party right
  • Your Log Data, including any claim that your Log Data infringes or misappropriates third-party rights or contains prohibited content
  • Any unauthorized use of your account or API Keys
  • Any data breach or security incident involving your systems or applications that impacts the Service
  • Any claim brought by a third party (including your end users, employees, or customers) relating to your use of the Service
  • Your failure to comply with applicable data protection laws in connection with your use of the Service

This indemnification obligation shall survive the termination of this Agreement.

12. Class Action Waiver & Dispute Resolution

IMPORTANT: PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND KYOTOTECH LLC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, MASS ACTION, OR ANY OTHER FORM OF REPRESENTATIVE OR CONSOLIDATED PROCEEDING AGAINST KYOTOTECH LLC.

Unless both you and KyotoTech LLC agree otherwise, no arbitrator or judge may consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding.

Individual Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to this Agreement or the Service shall be resolved on an individual basis. If any court or arbitrator determines that this class action waiver is void or unenforceable for any reason, or that a proceeding may proceed on a class basis, then the dispute resolution provisions of this Agreement shall be deemed null and void, and the dispute shall proceed exclusively before the Kyoto District Court.

Informal Resolution

Before filing any formal legal proceedings, you agree to first attempt to resolve any dispute by contacting us at support@kyototech.co.jp. We will attempt to resolve the dispute informally within 60 days. If the dispute is not resolved within that period, either party may proceed with formal legal action.

Time Limitation

YOU AGREE THAT ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICE MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE, OR IT SHALL BE FOREVER BARRED, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

13. Term and Termination

Term

This Agreement is effective from the date you create an account or first use the Service and continues until terminated.

Termination by You

You may terminate this Agreement at any time by:

  • Cancelling your subscription through the billing portal
  • Ceasing all use of the Service
  • Contacting us at support@kyototech.co.jp to request account deletion

Termination by Us

We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, if:

  • You breach any term of this Agreement
  • You fail to pay applicable subscription fees
  • Your use of the Service poses a security risk or may adversely impact the Service for other users
  • You become subject to bankruptcy, insolvency, or similar proceedings
  • We are required to do so by law or government order
  • We discontinue the Service or any material part thereof

Effect of Termination

Upon termination:

  • All rights and licenses granted to you under this Agreement immediately terminate
  • You must cease all use of the Service
  • Your Log Data will be deleted within 30 days of termination
  • You remain liable for any fees incurred prior to termination
  • Sections 1 (Definitions), 7 (Data Handling), 8 (IP), 9 (Warranty), 10 (Liability), 11 (Indemnification), 12 (Class Action Waiver), 15 (Governing Law), and 16 (General Provisions) survive termination

No Refunds Upon Termination

Unless required by applicable law, no refunds will be issued upon termination, whether initiated by you or by us due to your breach of this Agreement.

14. Modifications to Agreement

Right to Modify

We reserve the right to modify this Agreement at any time at our sole discretion.

Notice

We will provide notice of material changes by:

  • Posting the updated Agreement on our website
  • Updating the "Effective Date" at the top of this Agreement
  • For significant changes, displaying a notice in the Service dashboard or sending email notice to the address associated with your account

Acceptance

Your continued use of the Service after the effective date of any modifications constitutes your binding acceptance of the modified Agreement.

Rejection

If you do not agree to the modified Agreement, your sole remedy is to stop using the Service and terminate your account. Continued use of the Service after modifications take effect constitutes acceptance.

15. Governing Law and Jurisdiction

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law principles.

Jurisdiction

Subject to the Class Action Waiver provisions above, any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the Kyoto District Court (京都地方裁判所) as the court of first instance.

Waiver of Jury Trial

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND KYOTOTECH LLC EACH WAIVE THE RIGHT TO A JURY TRIAL FOR ANY DISPUTE ARISING OUT OF OR RELATING TO THIS AGREEMENT.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, epidemics, pandemics, power outages, internet or telecommunications disruptions, cyberattacks affecting critical infrastructure, or failures of third-party service providers.

16. General Provisions

Entire Agreement

This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and KyotoTech LLC regarding the Service and supersedes all prior or contemporaneous agreements, understandings, negotiations, and proposals, whether written or oral.

Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

Waiver

Our failure to enforce any provision of this Agreement at any time shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by KyotoTech LLC to be effective.

Assignment

You may not assign, transfer, or delegate this Agreement or any of your rights or obligations hereunder without our prior written consent. Any attempted assignment in violation of this section is void. We may assign this Agreement without restriction, including in connection with a merger, acquisition, or sale of assets.

No Agency

Nothing in this Agreement creates any agency, partnership, joint venture, or employment relationship between you and KyotoTech LLC. Neither party has the authority to bind or make commitments on behalf of the other.

Third-Party Beneficiaries

This Agreement does not create any third-party beneficiary rights. No third party may enforce any term of this Agreement.

Notices

Notices to us should be sent to: support@kyototech.co.jp or our registered address. Notices to you will be sent to the email address associated with your account or displayed within the Service dashboard.

Headings

Section headings are for convenience only and shall not affect the interpretation of this Agreement.

Language

This Agreement is drafted in English. In the event of any conflict between the English version and any translation, the English version shall prevail.
